EXPLORING STRATEGIC OPTIONS
Companies
find themselves seeking strategic options for several reasons: 1) a
company, a division or several divisions are not fairing well because of
poor management, poor decisions, a changing industry, over-leverage,
rapid expansion, etc., 2) a company planning for the future,
repositioning or restructuring the company, jettisoning non-core
divisions and acquiring others or a change in succession or
recapitalization or other event facing your company.

management
Amvest has
the experience to work with stockholders and senior executives in
evaluating competing strategies and assisting clients in arriving at the
optimal course of action and, as appropriate, identifying and
structuring an acquisition or joint venture or executing a sale or
spin-off of a business unit which is no longer considered core.
The
decision whether to pull back, keep taking profits or sell an
under-performing or strategically non-core business is often complex.
Timing and competitive factors have to be carefully assessed. Even when
a decision is reached to sell a business or asset, the method of sale
process is an equally important decision. Auctions are not automatically
the best solution.
Sometimes
companies are not aware of the best direction for the company. Amvest
can analyze the current state of the company, economy, current
valuations, state of your industry and make suggestions regarding a
strategic plan. If the client agrees, we can develop, with the client, a
specific strategic plan to achieve their goals.
Strategic Option Review: This is an analysis of the
strategic options based on your company, your industry and shareholder
objectives and Amvest's recommendations. Amvest brings its expertise
developed from our professionals experience in owning their own
companies and from assisting hundreds of company owners in planning and
achieving their goals.
Periodically, even if your company has no plans to change its direction
it can be good to find out what is going on out in the world, what your
company is worth, what your competitors are doing. It doesn't hurt to
know what your options are. Many companies find it helpful to have a
strategic option review done every three to five years. Many things can
change a company with no plans to change direction. It can encounter
situations that are beyond your control. These may include the death or
disability of a key owner or manager, a catastrophic disaster such as a
flood, hurricane, tornado, a significant change in the industry, the
loss of key sales people an acquisition, divestiture or shareholder
redemption and many others. Although some may be many years in the
future these events must be carefully planned in advance.
The
strategic option review will help you decide how to handle different
situations that may or will inevitably effect the company, its
shareholders and there families.
