products is still a vital necessity in the rural areas of the
country where big box stores are not readily accessible. Small
business and people in rural areas depend on quality service and
timely delivery to keep their business operating. The regular sales
and delivery call in those outlying areas is critical to them. The
“rural operating company” is 50 years old and very stable and can be
enhanced with the national and governmental contract aspect of the
“city operating company”. As well, since the “city” company is in a
suburb with easy access to more rural areas, that market plan can be
expanded when the companies are combined.
We have identified two companies with sales of
approximately $15 million and ebitda of $1.3 million plus. One
serves the rural areas of Kansas and western Missouri while the
other on a national basis from its Midwest headquarters. The two
companies complement each other well with both common and
complementary product lines and delivery methods. We expect sales
can grow to over $50 million or more in 3 years.
We have a very experienced executive that I have
known for sometime that sees the vision of combining and building
these companies into a well organized, efficient and more profitable
operation. There is also considerable room to expand this operation
in terms of geography and profitability. I am also very familiar
with this industry having done a consolidation back in the 80’s.

steady cash flows with the current annualized EBITDA of more than $500K,
based on the last year’s three quarter results ending on September 30.
The client base is well diversified with no single customer accounting
