Amvest is a boutique investment banking firm specializing in mergers, acquisitions, public and private divestitures, management buyouts, acquisition searches, private equity,  financing, including real estate, turnarounds and other corporate finance matters.

 
 

Amvest assists our clients in arranging a wide range of financing. In addition to acquisition financing, many clients find themselves in need of financing for expansion capital, equipment purchases, debit consolidation or debt reconstruction. Amvest can assist in securing financing through any number of vehicles including: asset based financing, cash flow financing, subordinated debt, lease financing, accounts receivable, mezzanine and others.

 

Mezzanine securities are a financing hybrid that combines senior debt with some type of equity component, such as warrants to purchase stock.  It is used by growing middle market companies to raise capital for acquisitions, buyouts, expansion or liquidity events. The primary benefit of mezzanine securities are that they fill the gap in a company's financing needs between what senior lenders are willing to provide and what equity the owners are willing to inject.

 

Like senior debt, mezzanine securities are loans that earn interest, and like equity, they are unsecured and long term in duration. The overall cost of mezzanine securities is higher than senior debt, but because they minimize the equity dilution of owners, they are considered less expensive than straight equity financing.

 

This financing can be arranged through both traditional sources such as banks and finance companies or through leasing companies, insurance companies, asset based lenders and other non-bank sources. Many times, we combine financing with equity or private placements as part of the mix or other creative options depending on the needs and resources of the client.

 

In cooperation with our client, Amvest will establish the business and financial parameters, prepare business and financing plans, and negotiate terms and structure.

 

Amvest does not assist in financing for start ups or early stage companies. Amvest works with clients requiring financing of at least  $1 million.
